Our total liability to you for all claims arising from or related to the use of our Services shall not exceed the greater of (a) the amount you paid to Vadersoft for the specific Service giving rise to the claim in the twelve (12) months preceding the claim, or (b) one hundred United States Dollars (USD $100).
You agree to indemnify, defend, and hold harmless Vadersoft, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of or access to our Services; (b) your violation of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property right, privacy right, or other right; or (d) any claim that your User Content caused damage to a third party.
We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.
Upon termination, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
You may terminate your use of our Services at any time by discontinuing use and, if applicable, canceling any subscriptions or service agreements in accordance with the terms of such agreements.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect by posting the updated Terms on our website and updating the "Last updated" date.
What constitutes a material change will be determined at our sole discretion. Your continued use of our Services after any such modifications constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using our Services.
While we operate in accordance with internationally recognized legal standards, best practices, and global industry standards, these Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions.
Any disputes, controversies, or claims arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts of Ghana. You hereby consent to the personal jurisdiction of such courts and waive any objection to the venue of any such proceeding in such courts.
Notwithstanding the foregoing, we reserve the right to seek injunctive relief or other equitable remedies in any court of competent jurisdiction to protect our intellectual property rights or to prevent irreparable harm.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable.
These Terms, together with our Privacy Notice and any other legal notices or agreements published by us on our Services, constitute the entire agreement between you and Vadersoft concerning your use of our Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Vadersoft.
